Introduction
Initiate Games Inc. and its subsidiaries (collectively, “Initiate”, “we”, “our”, “us”) provide interactive software products (“Games”) via online services such as Steam, Nintendo eShop, Xbox Live, PlayStation Network, and Epic Store (“Digital Storefronts”). The company operates websites including www.priprigame.com (the “Sites”) to provide information about Initiate, the Games, and technical support.
Users must carefully read these Terms of Service, which govern access to and use of the Sites, Games, and Content. By accessing the Sites or downloading/installing a Game, users represent that they are: (i) at least thirteen years old or the age of majority in their country, or (ii) have parental/guardian consent. Users at the required age accept legal binding by these Terms. Parents/guardians consenting to a child’s use agree to be bound by these Terms on the child’s behalf.
Users who reject these Terms cannot access, download, install, copy, or use any Game or Sites. Rejection after purchase entitles users only to inquire about refunds through the applicable Digital Storefront or retailer per their return policies.
Additional End User License Agreement terms may apply and control in case of conflict with these Terms of Service.
Amendments and Updates
Initiate reserves the right to amend these Terms of Service in whole or part at its sole discretion, including modifying or discontinuing Sites, Games, or Content. While the company may provide notice by reasonable means, users agree to periodically check the Sites for updates. The “Last Updated” date indicates revision history.
Continued use of Sites or Games after revised Terms are posted constitutes acceptance. Users who disagree with changes cannot access or use the Sites or Games.
Definitions
“Content” includes software, data, technology, text, forum posts, chat posts, profiles, widgets, messages, links, emails, music, sound, graphics, pictures, images, illustrations, forms, video, code, and all audiovisual material appearing on or emanating from the Sites or Games, including design, appearance, Initiate trademarks, logos, and other materials.
“User Content” means text, data, graphics, images, photos, video, audiovisual content, hypertext links, and other content uploaded, transmitted, or submitted by users to the Site or Games.
Intellectual Property Rights
The Sites, Games, and Content are owned by Initiate or its third-party licensors and protected by U.S. and international copyright, trade dress, patent, and trademark laws, international conventions, and other intellectual property laws.
Users may not copy or download Content unless expressly authorized in writing. Users acquire no ownership rights in Sites, Games, or Content through use. Users must not remove, obscure, or alter copyright, patent, trademark, or other proprietary notices on Content, Sites, or Games.
Users may not sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise use the Sites, Games, or Content without authorization. Initiate reserves all rights not expressly authorized by these Terms. Unauthorized copying results in termination of access and potential legal action. Users agree to indemnify and hold Initiate harmless from unauthorized or illegal conduct.
User Comments and Feedback
Sites and Games offer opportunities to interact and share information, including opinions and thoughts with Initiate and other users through forums, social media platforms (Discord, Twitch, YouTube, TikTok, Instagram, X, Facebook, Reddit), Digital Storefronts, or other initiatives.
User opinions, views, statements, posts, comments, feedback, “wiki” entries, and online chat via these platforms do not reflect Initiate’s opinions or views. Initiate does not review, edit, or modify User Comments before publication but reserves the right to remove or modify any User Comments for any reason without notice, appeal, or revocation.
Users retain ownership of User Comments and intellectual property rights contained therein, except for Feedback. Initiate may publicly make available or redistribute User Comments on Sites or through press releases, promotional, and marketing materials. Users grant Initiate a non-exclusive, perpetual, transferable, sublicensable, royalty-free, irrevocable right and license to use User Comments in connection with promoting Initiate and its Games without obligation of confidentiality, attribution, or compensation.
Initiate welcomes feedback, comments, and suggestions regarding Sites, Games, and Content (“Feedback”). If users provide Feedback, they acknowledge it is submitted without expectation of compensation, attribution, or confidentiality. All Feedback becomes Initiate’s sole and exclusive property, and users irrevocably assign all right, title, and interest in Feedback, including worldwide patent, copyright, trade secret, and other intellectual property rights. To the extent rights cannot be assigned under U.S. or international law, users waive existing and future rights and release Initiate from all claims arising from using Feedback. Users agree, at Initiate’s request and expense, to execute documents and take further acts to help Initiate acquire, perfect, and maintain intellectual property rights and legal protections for Feedback.
Contributing Third-Party Content
Initiate respects intellectual property rights of others. Users must have legal right to upload User Content. Users may not upload or post User Content protected by copyright, trademark, or other intellectual property rights unless: (i) they own all rights, or (ii) they have prior written consent from rights owners.
Initiate may, without prior notice and in its sole judgment, remove User Content that may infringe third-party intellectual property rights. Infringers may have access terminated without notice and are not entitled to refunds.
Infringements
Initiate respects intellectual property rights and reviews all copyright infringement claims. Infringing content will be removed or access disabled per applicable copyright laws.
To claim copyright infringement, provide:
- Physical or electronic signature of copyright owner or authorized representative
- Description of copyrighted work claimed as infringed
- Description of allegedly infringing material and information sufficient to locate it (URL, in-game location)
- Contact information (mailing address, telephone, email)
- Statement affirming good-faith belief that material use is not authorized by copyright owner, agent, or law
- Statement that notification information is accurate, and under penalty of perjury, that you are authorized to act on behalf of copyright owner

Initiate may terminate the ability of repeat infringers to submit content or terminate their accounts.
Contributing User Content; License to Initiate
When users contribute User Content to Sites or Games, they expressly grant Initiate a non-exclusive, perpetual, worldwide, complete, irrevocable, fully-paid, and royalty-free right to quote, re-post, use, reproduce, modify, create derivative works from, syndicate, license, print, sublicense, distribute, transmit, broadcast, and otherwise communicate, and publicly display and perform User Content, or any portion thereof, in any manner or form and in any medium or forum, whether now known or hereafter devised, without notice, payment, or attribution to users or third parties.
Users grant Initiate all licenses, consents, and clearances to enable such use. Users waive and agree not to assert any moral or similar rights in User Content.
Third-Party Services
Sites and Games may contain or link to third-party websites or resources (“Third-Party Services”). Users acknowledge Initiate is not responsible or liable for: (i) availability or accuracy of Third-Party Services, or (ii) content, products, or services on or from such websites or resources (“Third-Party Materials”).
Links to Third-Party Services do not imply endorsement. Initiate is not responsible for examining or evaluating content, accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, or any other aspect of Third-Party Services. Users acknowledge sole responsibility for and assume all risk from using Third-Party Services or Third-Party Materials. Third-Party Services, Materials, and links are provided solely as convenience.
Sweepstakes and Contests
Initiate may operate sweepstakes, contests, and similar promotions (“Promotions”) through Sites and Games. Users should carefully review rules (“Official Rules”) of each Promotion they participate in, as they may contain additional information about Initiate’s rights to and ownership of submissions and participation rights. To the extent Official Rules conflict with these Terms of Service, the Official Rules control.
Privacy
Personal information gathered in connection with Site or Game use, submitted with User Content, User Comments, Feedback, or Promotion entry shall comply with Initiate’s Privacy Policy available at www.priprigame.com and incorporated herein by reference (“Privacy Policy”).
The Privacy Policy informs users of data collection practices and rights with respect to collected data. The Privacy Policy is provided separately because it is not an agreement requiring consent to enjoy products—it solely communicates practices and user rights. Privacy rights are important and deserve undivided attention. Users should review the Privacy Policy at www.priprigame.com.
For Privacy Policy questions, contact privacy@initiate.fund. Initiate cannot control third-party activities and cannot accept responsibility for third-party use of personal information or guarantee adherence to the same privacy and security practices. Users are encouraged to review privacy policies of other service providers. When visiting third-party websites linked to Sites or Games, users should consult those sites’ privacy policies before providing personal information.
Rules of Conduct
By agreeing to these Terms of Service, users acknowledge they may not:
- Post, transmit, promote, or distribute illegal User Content
- Harass, threaten, embarrass, or do anything unwanted to another user, such as sending unwanted messages or making personal attacks or statements about race, sexual orientation, religion, heritage, etc.
- Transmit or facilitate distribution of harmful, abusive, racially or ethnically offensive, vulgar, sexually explicit, defamatory, infringing, invasive of personal privacy or publicity rights, or objectionable User Content. Hate speech is not tolerated
- Disrupt chat flow with vulgar language, abusiveness, excessive scrolling, excessive shouting (all caps), “spamming,” or flooding
- Impersonate another person (including celebrities), falsely indicate employment or representation, or mislead users about representing Initiate or partners/affiliates
- Engage in commercial activities, including raising money, advertising, promoting products/services/websites, pyramid schemes, or multi-tiered marketing schemes
- Attempt to obtain passwords, account information, or other private information from users
- Upload software or User Content not owned or permitted to distribute freely
- Promote or encourage illegal activity including hacking, cracking, or counterfeit software distribution
- Upload files containing viruses or corrupted data
- Post messages for purposes other than personal communication, including advertising, promotional messaging, chain letters, pyramid schemes, or commercial activities
- Use or distribute “auto,” “macro,” or “cheat utility” software programs or applications
- Modify Sites, Games, or Content not specifically authorized in writing
- Post or communicate another person’s personal information through Sites or Games
- Attempt to interfere with, hack into, or decipher transmissions to or from servers
- Attempt to use Games on unauthorized services
- Interfere with others’ ability to enjoy Games or take actions that increase costs to provide Games
- Obtain or attempt to obtain unfair advantage, procure in-game items, or bypass game systems by exploiting bugs, design flaws, technical issues, or other methods
Third-Party Services may post additional conduct rules. Users must also obey all applicable laws, regulations, and rules when using Sites or Games.
Users encountering violating users should report activity to Initiate at support@initiate.fund.
Termination
Initiate reserves the right to terminate user access and prevent use of any Sites or Games if users engage in illegal activity or violate these Terms of Service at Initiate’s sole discretion. Initiate reserves the right to investigate and pursue violations to the fullest extent of law, including involving and cooperating with law enforcement authorities in prosecuting violators.
Users acknowledge Initiate has no obligation to monitor access to or use of Sites, Games, or Content or to review or edit User Content, but retains the right to do so for operating Sites and Games, ensuring compliance with these Terms of Service, or complying with applicable law or orders from courts, administrative agencies, or governmental bodies. Initiate reserves the right, at any time and without prior notice, to remove or disable access to any Content, User Content, User Comments, or other content it considers in violation of these Terms of Service or otherwise harmful to Sites or Games.
No Warranty
Users expressly acknowledge and agree that use of Sites, Games, and Content is at their sole risk and that entire risk regarding satisfactory quality, performance, accuracy, and effort is with users. To the maximum extent permitted by applicable law, Sites, Games, Content, and any Third-Party Services or Third-Party Materials performed or provided are provided “AS IS” and “AS AVAILABLE”, with all faults and without warranty of any kind.
Initiate hereby disclaims all warranties and conditions regarding Sites, Games, Content, and Third-Party Services, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement of third-party rights.
Initiate does not warrant against interference with enjoyment of Sites, Games, and Content, that functions contained in or services performed or provided will meet requirements, or that errors in operation of Sites, Games, or Third-Party Services or Third-Party Materials will be corrected. No oral or written information or advice from Initiate or authorized representatives shall create warranty.
Should Sites, Games, Content, Third-Party Services, or Third-Party Materials prove defective, users assume entire cost of all necessary servicing, repair, or correction. Some jurisdictions do not allow exclusion of implied warranties or limitations on statutory rights, so foregoing exclusions and limitations may not apply.
Limitation of Liability
To the extent not prohibited by law, Initiate, its employees, officers, directors, representatives, and agents are not liable for personal injury or any incidental, special, indirect, or consequential damages, including damages for loss of profits, loss of data, business interruption, or any other commercial damages or losses, arising out of or related to user use or inability to use Sites, Games, Content, Third-Party Services, or Third-Party Materials, however caused, regardless of liability theory (contract, tort, or otherwise) and even if Initiate has been advised of such possibility.
Some jurisdictions do not allow limitation of personal injury liability or incidental or consequential damages, so this limitation may not apply. In no event shall Initiate’s total liability to users for all damages (other than as required by applicable law in personal injury cases) exceed five U.S. dollars (US$5). Foregoing limitations apply even if stated remedy fails of its essential purpose.
Indemnity
Users agree to defend, indemnify, and hold Initiate, its employees, officers, directors, representatives, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with user User Content, User Comments, access to or use of Sites, Games, or Content, or violation of these Terms of Service.
Injunctive Relief
Users agree that breach of these Terms of Service causes irreparable injury to Initiate for which monetary damages would not be adequate remedy and Initiate is entitled to equitable relief in addition to any remedies available hereunder or at law without bond, other security, or proof of damages.
Governing Law and Forum; Waiver of Class or Consolidated Action
These Terms of Service and any related action are governed by California law without regard to conflict of laws provisions. Application of the United Nations Convention on Contracts for International Sale of Goods is expressly excluded. Parties agree any judicial proceeding shall be exclusively brought in a state or federal court in Los Angeles County, California, and each party consents to personal jurisdiction and venue in such courts.
Users waive their right to participate in class or consolidated action against Initiate and any judicial proceeding may only be brought in individual capacity with claims of more than one user unable to be brought jointly or consolidated with others.
Entire Agreement; Severability; Waiver
Except as provided in any applicable End User License Agreement, these Terms of Service constitute the entire and exclusive understanding and agreement between Initiate and users regarding Sites, Games, and Content, and supersede and replace any prior oral or written understandings or agreements.
Users agree these Terms of Service do not confer rights or remedies upon third parties. These Terms of Service and incorporated Privacy Policy, including enforcement, do not confer rights or remedies upon third parties. If any part is held invalid or unenforceable, that portion shall be interpreted consistently with applicable law to reflect original intentions, and remaining portions remain in full force and effect.
Initiate’s failure to enforce any right or provision does not constitute waiver of future enforcement.
Notices
Users consent to: (i) electronic means to acknowledge and agree to these Terms of Service and deliver notices or communications permitted or required; and (ii) electronic records to store information related to these Terms of Service or Site, Game, or Content use.
Notices or communications permitted or required, including regarding Terms modifications, shall be in writing and given: (x) by Initiate via email (to provided email address) or (y) by posting to Sites or Games. For email notices, receipt date is the transmission date.
